Terms of Service
These Terms of Service govern your use of darkfactory.studio and any services provided by Dark Factory Studio. By engaging our services, you agree to these terms.
1. Services
Dark Factory Studio provides AI-assisted software product development services including MVP development, full SaaS product builds, and equity-based venture builds. The specific scope, deliverables, timeline and price are defined in a separate Project Agreement signed before work begins.
2. Project Agreement and Scope
- All projects begin with a discovery phase and a formal Product Requirements Document (PRD)
- Work begins only after written client approval of the PRD
- The PRD defines the fixed scope. Any changes after sign-off constitute a change order and may affect price and timeline
- Fixed prices quoted are valid for 30 days from date of proposal
3. Payment
- MVP Sprint: 50% upfront, 50% on delivery
- Market-Ready Product: 40% upfront, 30% at mid-point, 30% on delivery
- Venture Build: Governed by a separate equity agreement
- Invoices are due within 14 days of issue
- Late payments incur 1.5% monthly interest
4. Intellectual Property
- Upon full payment, all custom code written for the client becomes the client's property
- Dark Factory Studio retains the right to reference the project in its portfolio unless otherwise agreed in writing
- Third-party open-source components remain under their respective licenses
- Dark Factory Studio's internal tooling, AI pipelines and development methodology remain our intellectual property
5. Deliverables and Acceptance
Deliverables are considered accepted if the client does not raise written objections within 7 business days of delivery. We provide a 14-day post-delivery bug fix period for defects present at delivery. New features or scope changes fall outside this warranty.
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the project. This obligation survives termination of the agreement for 3 years.
7. Limitation of Liability
Dark Factory Studio's liability is limited to the total fees paid for the specific project. We are not liable for indirect, incidental or consequential damages including lost profits or data loss.
8. Termination
Either party may terminate the project with 14 days written notice. Work completed to date is billable at the agreed rate. Upfront payments for undelivered work are refundable on a pro-rata basis.
9. Governing Law
These terms are governed by the laws of the Republic of Croatia. Any disputes shall be resolved in the courts of Croatia.
